1. Agreement to Terms

By accessing or using Memly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

The Service is operated by Default Settings SC, a company incorporated in Spain, located at Calle Granada 7, Velez Rubio, Spain.

2. Description of Service

Memly is a personal memory assistant that allows you to store, retrieve, and manage information via WhatsApp. You can save reminders, notes, recommendations, facts about people, and other information. The Service uses artificial intelligence to understand your messages and help you recall information later.

3. Account Registration

To use the Service, you must:

  • Be at least 16 years of age
  • Register for an account with accurate and complete information
  • Verify your WhatsApp phone number
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Store, transmit, or distribute any illegal content
  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Store sensitive personal information of third parties without their consent
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any commercial purpose without our permission
  • Abuse, harass, or harm another person through the Service
  • Send spam or unsolicited messages

5. User Content

You retain ownership of any content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing the Service to you.

You are solely responsible for your User Content. You represent and warrant that you have all rights necessary to grant the licenses in these Terms and that your User Content does not violate any third party's rights.

6. AI-Powered Features

The Service uses artificial intelligence to process your messages and images. While we strive for accuracy, AI systems may occasionally misunderstand your intent, provide incorrect information, or make errors in analyzing content.

You acknowledge that:

  • AI-generated responses may not always be accurate or complete
  • You should verify important information independently
  • The Service should not be relied upon for critical decisions
  • We are not responsible for actions taken based on AI-generated content

7. WhatsApp Terms

By using the Service via WhatsApp, you also agree to comply with WhatsApp's Terms of Service and Privacy Policy. We are not affiliated with, endorsed by, or sponsored by WhatsApp or Meta Platforms, Inc.

8. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

9. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Default Settings SC and are protected by international copyright, trademark, and other intellectual property laws.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us at hello@getmemly.com. Upon termination, your right to use the Service will cease immediately.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEFAULT SETTINGS SC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code that may be transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of using any content

13. Indemnification

You agree to defend, indemnify, and hold harmless Default Settings SC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Spain.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
